Acceptance of these terms

These Terms of Service ("Terms") are a binding agreement between you, and if applicable the organization you represent, and Requify Pty Ltd (ABN 13 697 719 572, "Requify", "we", "us", "our"), governing your access to and use of ReqTwin (the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you are accepting on behalf of an organization, you confirm you have authority to bind that organization.

The service

ReqTwin is a requirements management platform that keeps requirements, inspection and test plan (ITP) sign-off, bill-of-materials (BOM), and programme schedule cross-linked as one source of truth within a project, with a project-wide Traceability view reporting coverage and gaps across all of it. It includes AI Insights (free-text Q&A over your project data), semantic and similar-requirement search, optional Uniclass classification suggestions, and optional cross-organization BOM cost benchmarking. Features available to you depend on your organization's subscription plan.

Accounts and organizations

You need an account, authenticated through Clerk, to use the Service. Every account is automatically provisioned one organization; you may also be invited into other organizations. Within an organization, your role (Admin, Editor, or Viewer) determines what you can view and change. You are responsible for keeping your login credentials secure and for all activity under your account. Notify us promptly at [email protected] if you suspect unauthorized access.

You must be at least 18 years old, and legally able to enter into a contract, to create an account.

Subscription plans and billing

We offer a free tier and paid subscription plans (currently Professional, for a single user, and Team, for multiple users), each unlocking additional features such as AI Insights and Uniclass suggestions. Paid plans are billed and managed through Clerk Billing on a recurring basis and renew automatically until cancelled. You can cancel at any time from the Team page in the Service; cancellation takes effect at the end of your current billing period, and except as required by law, fees already paid are non-refundable. We may change plan pricing or features on reasonable notice; continued use after a price change takes effect constitutes acceptance of the new price.

Your content

You and your organization retain all ownership rights in the requirements, documents, ITP records, BOM data, programme data, and any other content you upload or create in the Service ("Customer Content"). You grant Requify a limited, non-exclusive license to host, store, process, transmit, and display your Customer Content solely to provide and improve the Service, including generating embeddings and AI-derived output from it as described in our Privacy Policy.

You are responsible for the accuracy and legality of your Customer Content, and for having the rights necessary to upload it, including where it contains third-party specifications, drawings, or contractual material. Don't upload content you don't have the right to share, or that is unlawful, infringing, or malicious.

An organization's Admin may opt a project into cross-organization cost benchmarking, contributing that project's BOM unit costs to an aggregate shared with other organizations, as described in our Privacy Policy. Published benchmark figures are statistical aggregates, not warranted for accuracy, and must not be relied on as a substitute for your own quotes or market research.

AI Insights answers, similar-requirement suggestions, and Uniclass classification suggestions are generated by third-party AI models and are provided as a productivity aid only. They may be incomplete, out of date, or factually wrong, and must not be relied on as a substitute for professional judgment. Before you rely on any AI-generated output for an engineering, safety, contractual, compliance, or construction decision, you must independently verify it against the underlying source documents and, where appropriate, a qualified professional. Requify is not liable for decisions made, or actions taken, in reliance on AI-generated output.

Responsible security research

We support good-faith security research. If you discover a vulnerability, report it to [email protected] instead of exploiting it, and give us a reasonable opportunity to investigate and fix it before disclosing it publicly. We will not pursue legal action against good-faith, non-disruptive research conducted under this policy; this does not authorize accessing another customer's data, degrading the Service, or any activity otherwise prohibited under "Acceptable use" above beyond what's needed to demonstrate the vulnerability.

Intellectual property

Requify owns all right, title, and interest in the Service, including its software, design, and the ReqTwin name and logo, excluding your Customer Content. Subject to these Terms and your subscription, we grant you a limited, non-exclusive, non-transferable right to access and use the Service for your organization's internal business purposes.

Third-party services

The Service relies on third-party providers, including Clerk (authentication and billing), Supabase (database hosting), DigitalOcean (application hosting), Anthropic and Voyage AI (AI features), and PostHog (analytics). Your use of the Service is also subject to the applicable terms of these providers to the extent they govern how your data is processed, as described in our Privacy Policy.

Termination

You may stop using the Service, or delete your organization's projects and account, at any time. We may suspend or terminate your access if you materially breach these Terms, including non-payment of fees, or if your organization is deleted or its last member removed in Clerk, which permanently deletes all projects and data under that organization, as described in our Privacy Policy. On termination, your right to use the Service ends immediately; sections of these Terms that by their nature should survive, including ownership, disclaimers, limitation of liability, and governing law, will survive.

Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Service, including any AI-generated output, will be uninterrupted, error-free, or accurate. Nothing in these Terms excludes, restricts, or modifies any consumer guarantee under the Australian Consumer Law that cannot lawfully be excluded.

Limitation of liability

To the maximum extent permitted by law, Requify is not liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of the Service, even if advised of the possibility of such damages. Our total aggregate liability arising out of or relating to these Terms or the Service is limited to the amount you paid us in the 12 months preceding the claim, or AUD 100 if you have not paid us anything. This limitation does not apply to liability that cannot lawfully be limited, including under the Australian Consumer Law.

Indemnity

You agree to indemnify and hold Requify harmless from any claim, loss, or expense, including reasonable legal fees, arising from your Customer Content, your breach of these Terms, or your misuse of the Service.

Governing law

These Terms are governed by the laws of Victoria, Australia, without regard to conflict-of-law principles, and you submit to the exclusive jurisdiction of the courts of Victoria, Australia for any dispute arising from these Terms or the Service.

Changes to these terms

We may update these Terms from time to time. If we make material changes, we will update the "last updated" date at the top of this page and, where appropriate, notify you directly. Continued use of the Service after a change takes effect constitutes acceptance of the revised Terms.
